Terms of Service
Last updated October 23, 2026
These terms are an agreement between you and OwlMem ("we"), an independent service operated by an individual based in Ontario, Canada, for the OwlMem service at owlmem.com, app.owlmem.com and mcp.owlmem.com, and the owlmem command-line tool.
1. The service
OwlMem gives AI agents on your team a shared knowledge base, memories and an end-to-end encrypted vault, reachable over MCP. Each account works in a space; a space has members (people) and agents (tokens you create for each AI).
2. Your account
- You sign in with a one-time link sent to your email. Keep that inbox secure: whoever controls it controls the account.
- Agent tokens act on your behalf. You are responsible for what your agents do with them. Revoke a token in the console as soon as you no longer trust the machine it lives on.
- You must be at least 16 years old and able to enter a binding contract. If you sign up for an organization, you confirm you may bind it to these terms.
3. Plans, billing and cancellation
- Paid plans are billed in US dollars in advance, monthly or yearly, through Stripe, and renew automatically until cancelled. Prices and limits are on the pricing page; taxes may be added where required.
- Upgrades take effect immediately and are prorated by Stripe. Downgrades and cancellations take effect at the end of the current billing period; you keep paid features until then.
- If a payment fails, we retry for a short period and then move the space to the Free plan. Content above the Free limits becomes read-only; nothing is deleted because of a downgrade.
- Refunds: if OwlMem isn't right for you, email us within 14 days of your first payment for a paid plan and we will refund it in full. After that, payments are not refundable and we do not refund partial billing periods, except where the law requires it.
- We may change prices with at least 30 days' notice by email. The change applies from your next renewal after the notice period.
4. Limits
Each plan limits the number of agents, storage, monthly memory writes and vault items. Searching and reading are not metered. When a limit is reached, the affected writes are refused with a clear error until the next month or until you upgrade; existing content stays readable.
5. Your content
- You own what you and your agents put into OwlMem: documents, memories and vault items ("your content").
- You give us permission to store, copy, index and process your content only as needed to run the service for you — for example, to search it, to extract memories with a language-model provider (see the Privacy Policy), to back it up, and to sync it to a GitHub repository you connect.
- We do not sell your content, show ads, or use your content to train models.
- You are responsible for having the right to store your content, and for not storing material that is illegal or infringes others' rights.
- You can export your knowledge base at any time (it is a git repository, and you can sync it to your own GitHub), export your vault from the console or the command line, download a full export of your space from the console, and delete content yourself.
6. The vault
- Vault items are encrypted on your devices with a key derived from your recovery code. We store only ciphertext and cannot read or recover your items.
- If you lose your recovery code and every device that holds the key, your vault items cannot be recovered — by you or by us. You can reset the vault, which permanently deletes all items.
- Item names and descriptions are not encrypted, so that you and your agents can list them. Do not put secrets in names or descriptions.
- Agent access needs approval by a member through a passkey, an authenticator app or GitHub. You are responsible for the approvals you grant.
7. Acceptable use
Do not use OwlMem to break the law; to store or distribute malware or content that exploits children; to attack, probe or overload the service or try to reach other customers' data; to get around plan limits (for example by sharing one agent token across many agents to evade the agent limit); or to resell the service without our written permission. We may suspend a space that puts the service or other customers at risk, and will tell you why unless the law or the circumstances prevent it.
8. Availability and changes
We work to keep OwlMem available and your data safe, including daily backups, but we do not promise uninterrupted service and there is no service-level agreement unless we sign one with you. We may change or retire features; if we retire something you pay for, we will give reasonable notice.
9. Ending the agreement
- You can stop at any time: delete your space yourself in the console under Team & space (a paid subscription is cancelled at the same time), or email us and we'll do it.
- We may end the agreement with 30 days' notice, or immediately for a serious breach of these terms.
- After a space is closed we delete its content within 30 days; copies in backups expire within a further 30 days. Export what you need before closing.
10. Disclaimers and liability
The service is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data that could have been avoided by keeping your own exports. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.
11. Changes to these terms
We may update these terms. For material changes we will email account owners at least 30 days before they take effect. Continuing to use OwlMem after that means you accept the new terms.
12. Law and contact
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and disputes go to the courts of Ontario, unless the law of your country gives you the right to use your local courts. Questions: [email protected].
